Terms of Service

Terms governing access to and use of the AYAANIS Technologies website. Platform access and use are governed separately by executed MSAs and BAAs.

These Terms of Service ("Terms") govern your access to and use of the website operated by AYAANIS Technologies, Inc. ("AYAANIS," "we," "our," or "us"). By accessing or using ayaanis.com, you agree to be bound by these Terms.

Important distinction for clients: These Terms apply generally to website visitors and public-facing informational services. The deployment, access, and use of AYAANIS software platforms (including ANTEC, AARIP, CORE, MAWAS, and EVIDEX) are governed exclusively by executed Master Service Agreements (MSAs) and Business Associate Agreements (BAAs). In the event of a conflict between these website Terms and an executed MSA, the MSA prevails.

1. Acceptance of terms

By accessing our website or engaging with our online inquiry mechanisms, you confirm that you have read, understood, and agree to comply with these Terms. If you are accessing this site on behalf of a healthcare facility, pharmacy, or other corporate entity, you represent that you have the authority to bind that entity to these Terms.

2. Intellectual property rights

All content on this website, including platform architecture diagrams, software interfaces, text, graphics, logos, trademarks, and workflow logic frameworks, is the intellectual property of AYAANIS Technologies, Inc., protected by United States and international copyright, trademark, and trade secret laws.

You may not:

  • Copy, reproduce, modify, or distribute any proprietary material without express written consent.
  • Attempt to reverse-engineer, decompile, or extract the operational logic described on this site.
  • Use AYAANIS trademarks or branding in a manner that implies unauthorized endorsement or partnership.

3. Platform access and security

Access to AYAANIS platforms (via the ANTEC Portal or AARIP Portal) is restricted to authorized personnel of contracted clients. The MAWAS accountability framework governs user interactions within the platform.

Authorized users agree to:

  • Maintain the confidentiality of credentials and authentication tokens.
  • Never share login access; all actions must remain attributable to the individual user.
  • Refrain from attempting to bypass, disable, or circumvent any platform security, guardrail, or audit mechanism.

AYAANIS reserves the right to suspend or terminate access for any user or IP address attempting unauthorized entry or demonstrating malicious activity.

4. Prohibited conduct

While using the public website, you agree not to:

  • Deploy automated scripts, spiders, or scrapers to harvest data or architecture details from the site.
  • Submit false, misleading, or spoofed information through our demonstration or contact forms.
  • Transmit any viruses, malware, or code of a destructive nature.
  • Interfere with the performance, availability, or security of our web infrastructure.

5. Disclaimers

The public website and its informational content are provided on an "as is" and "as available" basis.

AYAANIS makes no warranties, express or implied, regarding the website's uninterrupted availability or the completeness of informational content. SLA guarantees, platform uptime commitments, and regulatory compliance warranties are provided exclusively within the MSAs of our contracted clients.

6. Limitation of liability

To the maximum extent permitted by applicable law, AYAANIS Technologies, Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your access to or use of the public website.

Liability pertaining to the use of AYAANIS software platforms for clinical workflows or revenue cycle management is governed entirely by the liability and indemnification clauses within the client MSA.

7. Privacy and data governance

Your use of the website and interactions with our demonstration scheduling tools are also governed by our Privacy Policy. AYAANIS separates public website data collection from the Protected Health Information (PHI) processed within our secure platform environments.

8. Governing law and jurisdiction

These Terms, and any disputes arising out of or related to them or the use of the website, are governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

9. Modifications to terms

AYAANIS reserves the right to modify these Terms at any time to reflect changes in our operational footprint, platform architecture, or legal obligations. Revisions will be posted to this page with an updated date. Continued use of the website following such changes constitutes your acceptance of the revised Terms.
